Zaria Systems raises $5.2m while OCC charter stays pending
Zaria Systems raised $5.2 million led by Lightspeed on October 14. The OCC application to charter Zaria National Trust Bank is still pending, not an approval.

Zaria Systems has $5.2 million in new seed capital and still does not have a national bank. In a release datelined Jackson, Wyoming, on October 14, 2026, Zaria Systems, Inc. said the round, led by Lightspeed Venture Partners, follows a pending application to the Office of the Comptroller of the Currency (OCC) to charter Zaria National Trust Bank. Servicing is described as already live. The federally regulated trustee is still conditional.
A seed round cannot do the OCC's job. Having read that October 14 wording against the charter clause, the money is operating capital for a vendor, and the bank is a proposal. If the OCC does not approve the charter, those vendor contracts are the business to underwrite.
What the seed funds
Zaria Systems, Inc. builds real-time infrastructure for mark-to-market credit and structured finance. The release says collateral has long been checked in periodic batches, while securities-backed, digital asset-backed, and tokenized lending now need real-time monitoring and automated margin calls. It names loan servicing, backup servicing, collateral management, and agency services.
The only round size given is $5.2 million of seed funding, led by Lightspeed Venture Partners. No other investor is named, and no valuation is stated. The same release calls Lightspeed a global, multi-stage firm managing more than $65 billion in assets, founded in 2000, and an early backer of Anthropic, Databricks, Rubrik, Snap, and Wiz.
An application, not an approval
Zaria National Trust Bank, shortened in the release to ZNTB, would be a special-purpose national bank limited to the operations of a trust company and related activities. Zaria Systems calls the filing pending. It has also published a separate application announcement. The funding release treats the charter as something that matters only if it is approved. It reports neither a grant nor an opening date.
The OCC is not quoted. The funding release gives no docket number, no comment deadline, and no decision date. Zaria Systems says organizers and managers bring experience from BNY Mellon, Barclays, Morgan Stanley, Moody's, SoFi, Affirm, NYDIG, Block, and the OCC, among others. A former employer is not a signature on ZNTB.
Industry Spread has already covered a filing in this category: Rain National Trust Bank files an OCC charter. On the fintech desk, capital and a bank are also easy to fuse, in Augustus raising to build a stablecoin clearing bank and in Monarch taking the HMBradley team and not the bank brand.
Partners named, none quoted
The platform is live with Ledn, Maple, Galaxy, Kraken, and Figure. The release assigns that group backup servicing, agency, collateral management, and node services across warehouse facilities, forward flow loan sale programs, and securitizations. None of those firms is quoted on the round or named as an investor. BNY Mellon stays a prior employer, not a commenting rival. Banks, lenders, and asset managers are named as a planned client set for the proposed trust bank, not as quoted customers.
What Barron and Frank said
"This financing lets us accelerate growth and scale our existing services," said Emily Barron, co-founder and CEO of Zaria Systems. "We're currently running servicing, backup servicing, collateral management, and agency infrastructure for structured finance and digital asset-backed loans. This investment lets us grow that team, extend the technology, and build on to a strong foundation."
Aaron Frank, partner, fintech, at Lightspeed Venture Partners, said: "Zaria has already built real traction with structured finance and digital asset-backed lenders." He added: "Emily and her team have combined deep structured finance expertise with the technical rigor to build that infrastructure from the ground up, and we're proud to have been able to back them from the earliest days." Both lines are in the October 14 release. Neither says the OCC has chartered a bank.
One trustee, only if approved
If the charter is approved, Zaria Systems says the services would consolidate under a single federally regulated trustee, "giving transaction stakeholders one regulated counterparty across a deal lifecycle for the first time, rather than several providers stitched together." Through the proposed bank it plans corporate trustee and agency services, loan servicing, collateral management, and backup servicing. The release gives the address as zaria.xyz.
A backup-servicing contract does not require a charter. Zaria Systems becomes that single regulated counterparty, on the release's own logic, only if the OCC approves ZNTB. The release does not call BNY Mellon a partner, an investor, or a sponsor.
What happens next
The next fact that changes the story is an OCC decision. This release dates neither that decision nor a valuation. Approval would put servicing and trustee work under ZNTB. A refusal leaves Ledn, Maple, Galaxy, Kraken, and Figure on the vendor book Barron says is already running. Document contracts with Zaria Systems, not a claim on a chartered Zaria National Trust Bank.
