Saldo Bank to be acquired by Payward, terms undisclosed
Saldo Bank has a signed Payward deal via Finnish holdco Saldo Finance Oy. Terms were not disclosed, and the 2027 close still needs regulatory approvals.

Saldo Bank is the licensed entity in the deal, and the buyer is not Kraken. On October 14, 2026, Payward, Inc. said it had signed a definitive agreement to acquire Saldo Finance Oy, a Finnish holding company whose subsidiary, Saldo Bank UAB, is a digital-first specialised bank licensed in Lithuania. Kraken is a product on Payward's stack, not the contracting party. The agreement covers a bank that already takes retail term deposits and makes loans. It is not a trust-charter application, and it is not a completed acquisition.
Saldo Bank's notice, datelined Cheyenne, Wyoming, says the terms were not disclosed. Payward's release states no consideration either. Both say the transaction is expected to close in 2027, subject to customary closing conditions and regulatory approvals. Finance Magnates and Ledger Insights reported the same signing, the same undisclosed terms and the same 2027 expectation. Saldo Bank says it is already licensed by the European Central Bank (ECB) and regulated by the Bank of Lithuania. That licence is not an approval for Payward to become the owner. Payward says the work of earning regulatory approval is underway. Neither notice says an authority has granted it.
What the signed agreement actually describes
Payward describes passporting across five European markets. Saldo Bank serves customers in Lithuania, Finland, Sweden and Germany, and holds a passport to operate in the Netherlands. Retail term deposits run in each operating market. Consumer lending runs in Lithuania, Finland and Sweden. Secured and unsecured small and medium-sized enterprise (SME) loans run in Lithuania and Finland. A credit card is live in Finland and is expected to launch in Sweden in 2027, on a timetable the bank states separately from the close. Embedded lending partnerships operate in Finland and Germany. The bank also describes full Single Euro Payments Area (SEPA) payments access.
The notices name no price, no break fee and no day in 2027 for the transfer. They do not say Saldo Bank will custody crypto, list tokens or onboard Kraken clients. Payward says its banking arm has originated more than $2 billion in loans, that it holds a Federal Reserve limited-purpose master account in the United States, and that it holds an electronic money institution (EMI) licence from the Central Bank of Ireland. The EU banking licence is the next layer in that account, not a substitute for the Irish permission or the US account.
A deposit-taking bank is not a trust-charter filing
Other crypto firms are still applying for narrower US charters. Rain National Trust Bank has filed for an Office of the Comptroller of the Currency charter. Block has filed for Builders Bank, an uninsured bitcoin trust bank. Neither filing is a purchase of a European specialised bank that already holds customer term deposits.
Payward's distribution contracts are separate. A London Stock Exchange arrangement hands tokenised equity distribution to Kraken until 2027, the same year this bank agreement is slated to close. That is not this transaction. Nor is the xStocks push into Hong Kong, the UK and Seoul.
What the executives said, and what they skipped
"A regulated EU bank is the piece that lets us serve European clients the way a primary financial institution should: one place to hold assets, move them freely, and put them to work."
Arjun Sethi, co-CEO of Payward, said that in the company's release. Jarkko Mäensivu, president of Saldo Bank, said in the bank's notice: "A banking license is only as valuable as what you build on top of it."
The same notice puts Saldo Bank UAB's registered office at Žalgirio g. 94-1, LT-09300 Vilnius, registration number 305334925, and says more than 90 people worked at the bank at the end of September 2026. It remains a subsidiary of Saldo Finance Oy until the conditions are met. Payward says integration work and the approval process are underway, but the purchase has not closed.
If those approvals and the other customary conditions are satisfied, Payward expects to close in 2027 and then to offer European clients interest on deposits, lending products and banking-as-a-service tools, including passporting, card issuance and SME lending. The company says those offerings remain subject to regulatory approvals of their own. If the approval work slips, the ownership change and that product map slip with it. Until the acquisition is approved, the live book is the one Saldo Bank already runs under the licence it holds today.
