NeoSpace Itaú stake priced at R$2.925 billion for all shares

NeoSpace Itaú stake becomes a R$2.925 billion agreement for every share, cash deferred over five years, with CADE and the Central Bank still to clear closing.

NeoSpace Itaú stake priced at R$2.925 billion for all shares

A signed price, with the cash still ahead

NeoSpace A.I. Technologies Ltda. has put the NeoSpace Itaú stake into a share purchase agreement with Itaú Unibanco Holding S.A. On October 26, 2026, the bank told shareholders that it, or its affiliates, had signed that agreement to acquire all NeoSpace shares for R$2.925 billion, the figure the Material Fact writes as BRL 2,925,000,000.00. One installment is payable at closing and the remaining installments are deferred over a five-year period, subject to conditions the document leaves off the page.

I have tracked bank purchases of artificial intelligence (AI) teams for several years, and the clause that stands out is autonomy rather than absorption. The filing says NeoSpace's management and business operations will remain autonomous from the holding company, and that the current team will be retained. That is closer to a captive model lab with its own door than to a core-system merger such as Backbase's purchase of Kasisto.

What the reais figure buys

The filing describes NeoSpace as a Brazilian AI startup specialized in foundational models trained on large-scale datasets. It has been providing services to Itaú for nearly two years by developing models trained on the bank's proprietary data, so the buyer is contracting to own a supplier already used on live client work. Those models support generative AI for the bank's businesses and clients, including financial and credit management the document calls increasingly personalized.

Itaú links work already delivered to results in credit, customer relationship management (CRM) and fraud prevention, and it aligns the purchase with “ia.i,” its generative AI assistant. The investor-relations copy, signed in São Paulo by Investor Relations Officer Gustavo Lopes Rodrigues, states the price only in reais and leaves the installment split undisclosed. Secondary headlines have translated R$2.925 billion into dollars at differing rates, and the NeoSpace Itaú stake on the signature page remains a reais contract.

CADE and the Central Bank still gate the close

The agreement is signed, and closing still waits on conditions precedent. Those include prior approval by the Brazilian Antitrust Authority (CADE), the Conselho Administrativo de Defesa Econômica, and by the Central Bank of Brazil, plus other customary conditions. Until the approvals are in hand, the shares stay with the sellers and the five-year payment tail stays on paper.

CADE can ask whether other institutions will still be able to hire the same lab once Itaú owns every share, and the filing is silent on outside-client rights. Coverage through October 30, 2026, found the filing and reporter accounts, and found no public statement from Nubank, Bradesco, Banco do Brasil or Santander Brasil. Nubank's purchase of Banco Porto Real ran the other way, securing a banking name rather than a model lab.

What the chief executive added

The Material Fact carries an investor-relations signature and leaves operating commentary to other channels. Valor Econômico reported on October 26, 2026, a LinkedIn post by Milton Maluhy Filho, chief executive of Itaú. In the Portuguese text Valor published, he said: “Ao integrar o rigor de pesquisa da NeoSpace com a nossa massa de dados, escala e governança, garantimos autonomia tecnológica e a capacidade de criar produtos que vão definir os novos padrões da indústria, no Brasil e no exterior.” He was claiming technological autonomy and products that set industry standards in Brazil and abroad, and that post sits outside the securities filing.

On its own site, NeoSpace describes a Large Data Model (LDM) for structured and unstructured enterprise data in one system, and a platform it calls NeoData. That wording, on neospace.ai and in the company documentation, matches the filing's emphasis on foundational models. The ia.i assistant is the bank's distribution channel, and the LDM language is the vendor's account of the engine.

What closing still requires

Maximum's seed round to rebuild core banking with AI and Decade's raise for AI wealth advice in Brazil fund new stacks from outside a bank balance sheet. Itaú is contracting to buy a stack it already uses, at R$2.925 billion, while telling shareholders the lab's management stays apart from the holding company. For a vendor-risk team, the NeoSpace Itaú stake is a change-of-control event on a live supplier.

The control shift on the contract can run ahead of the cash, because the filing separates signing, regulatory approval and a five-year payment tail. If the deferred installments depend on performance tests, R$2.925 billion is a ceiling as well as a headline. Banks that treat model vendors as interchangeable utilities have a reason to add change-of-control language before the next renewal, and the fintech desk will follow the approval calendar the issuer set.

Readers should treat the Material Fact as the record of the contract and should take any investment decision only with their own advisers.
