Guidewire agrees a $1.7bn cash deal for hyperexponential
Guidewire agreed to buy hyperexponential for a $1.7 billion cash base plus an earnout of up to $400 million, with closing expected by January 31, 2027.

Guidewire Software agreed on October 27, 2026 to acquire Hyperexponential Ltd, the London underwriting platform it already lists as a PartnerConnect Technology Alliance Partner, for a base cash price of $1.7 billion. Adding the $400 million earnout cap to that base produces a $2.1 billion ceiling before purchase-price adjustments. The Form 8-K keeps the $1.7 billion subject to adjustments for working capital, cash, indebtedness and certain retention amounts. On the $1,242 million of constant-currency annual recurring revenue (ARR) in Guidewire's July 31, 2026 earnings release, 6.50% is about $80.7 million, the dollar size of at least 650 basis points of inorganic fiscal 2027 ARR growth on that base.
Exhibit 99.2 describes cash consideration of about $1.7 billion inclusive of an employee retention pool, plus a contingent earnout of up to $400 million on post-close performance, and it dates closing to the fiscal quarter ending January 31, 2027. Guidewire's release sets the earnout against specified recurring revenue targets and calls that quarter the second of fiscal 2027. Item 1.01 states that the acquisition is not subject to any conditions to closing, wider than the deck's line that closing is not subject to a financing condition. The shape matches a buyer taking in a name already on its partner list, closer to Munich Re's deal for At-Bay than to a cold auction.
Cash, the earnout and the loan
The release says Guidewire expects to fund the purchase with $1.0 billion of new term-loan financing and cash on hand, under a binding commitment from Bank of America, N.A. and Citibank, N.A. Item 1.01 describes that commitment as a senior secured incremental term loan A of $1.0 billion, with BofA Securities, Inc. also on the letter, as a new class under the credit agreement dated December 2, 2024. The rate is the term secured overnight financing rate (SOFR) plus 1.00% to 2.00%, or a base rate plus 0.00% to 1.00%, on a five-step leverage grid, with maturity on December 2, 2029 and amortization of 5.0% per annum starting in the fifth full fiscal quarter after closing. Consummation does not depend on receiving those proceeds, and both the acquisition agreement and the debt commitment letter are due in the Form 10-Q for the quarter ending October 31, 2026.
Premium already running through the platform
The release calls hyperexponential a London provider of artificial intelligence (AI) software for commercial-lines underwriting and pricing, and says the platform has powered decisions across more than $75 billion of annual commercial property and casualty premium. Customers named there are Aviva, Allianz, Sompo, Beazley, Markel, HDI, Cincinnati Financial, Convex and Bowhead. Exhibit 99.2 puts the team at about 300 people, against Guidewire's base of more than 570 insurers in 44 countries.
"We founded hyperexponential on the conviction that underwriting judgment is the highest-leverage work insurers do," said Amrit Santhirasenan, chief executive and co-founder of hyperexponential, in Guidewire's October 27 release. Closing stays dated by Exhibit 99.2 to the quarter ending January 31, 2027, which leaves the $1.7 billion as an agreed price ahead of completion.
Rival blogs and other price bands
Pricing vendors already near this workflow had posted nothing on the signing when their blogs were checked on November 2, 2026. Duck Creek's blog index and Federato's blog index contained neither hyperexponential nor the agreement, while Akur8's blog index still led with a Guidewire Marketplace accelerator for its rating engine and carried no item on this signing. The 8-K exhibits likewise contain no statement from the customers named in the release. The signing lines up with Zafin's agreement to buy Naehas, another core-systems vendor adding decisioning software under a contract whose closing is separate from signature, while Stand Insurance at a $1 billion value sits in a different band from a $1.7 billion cash base.
What December still has to reprice
Guidewire said the agreement leaves first-quarter fiscal 2027 guidance, issued on September 3, 2026, unchanged, with second-quarter and full-year figures to be updated on the December earnings call. That September outlook put ending ARR at $1,253 million to $1,259 million for the quarter and at $1,450 million to $1,460 million for the year. A close by January 31, 2027 would put hyperexponential inside the July 31, 2027 ARR balance, so December is when investors see whether the pre-deal full-year range moves by about $80.7 million. From fiscal 2028 the release looks for at least 150 basis points of further organic ARR growth, while the earnout stays a separate meter: up to $400.0 million on recurring revenue targets the 8-K does not publish, set against an ARR definition that left $7.2 million of fiscal 2026 recurring contract value in services and out of ARR.
